Our Energy & Natural Resources practice advises clients on regulatory, transactional and project-related matters across the Romanian energy sector, supporting investors, developers, operators and financiers in navigating complex legal and regulatory frameworks.
We have strong experience assisting complex energy projects at all stages of their lifecycle, with a particular focus on identifying and managing regulatory risks inherent to highly regulated markets. Our advice is commercially focused and implementation-driven, aligned with the practical realities of project development and operation.
We regularly advise on the development, acquisition, financing (including EU-funded projects), operation and sale of renewable energy projects, as well as on the ongoing management of regulatory exposure. We work closely with our clients to deliver solutions that are not only legally robust, but also commercially viable and aligned with business objectives, enabling projects to progress efficiently in a rapidly evolving regulatory landscape.
Selected experience:
- Transactional support & due diligence – We advise on energy transactions, identifying material regulatory risks (including grid connection, access and compliance matters) and assisting clients in structuring transactions to mitigate such risks. Our work includes regulatory support in acquisitions, sales and joint ventures, covering change-of-control issues and the transfer of permits and licenses.
- Permitting & regulatory framework – We guide clients through the permitting and licensing requirements applicable to energy projects, from development and construction to commissioning and operation.
- Drafting and negotiation of industry-specific contracts – We draft and negotiate sector-specific agreements, including EPC agreements, PPAs, O&M agreements, electricity and natural gas supply agreements.
- Support schemes and incentives – We advise on applicable support schemes and incentive mechanisms in the energy sector, including renewable energy support frameworks, state aid considerations, green certificates, CfDs and other market-based or regulatory incentive instruments, as well as on compliance obligations and related regulatory risks.
- Representation before the National Energy Regulatory Authority (ANRE) – We assist clients in interactions with ANRE, including permitting and licensing procedures and related regulatory matters.
- Ongoing regulatory advisory – We provide day-to-day regulatory support on various matters, including prosumers, grid access and interactions with transmission and distribution system operators.
